Zofriends Terms of Service

These Terms of Service (“Terms”) govern your use of the Zofriends mobile application (the “App”), provided by Zomage LLC (“Zomage,” “we,” “us”). By creating an account, you agree to these Terms.

1. Eligibility

You must be at least 18 years old to use Zofriends. By creating an account, you confirm that you are 18 or older and that the information you provide, including your date of birth, is accurate. You further represent that you have never been convicted of a felony or sex crime and are not required to register as a sex offender with any government entity. Zofriends is currently available to users in the United States and Canada.

You may only maintain one account. Creating multiple accounts, or creating a new account after being removed for violating these Terms, is prohibited.

2. What Zofriends is

Zofriends is a social and dating app that uses an AI companion (“Zo”) to have a conversation with you, get a sense of your interests and personality, and help connect you with other people it thinks you would genuinely get along with. This can include one-on-one matches and small group conversations Zo helps set up. Zo is a feature within the App, not a person, and is not a substitute for professional advice of any kind, including relationship, medical, or mental health advice.

Zo is powered by automated decision-making and artificial intelligence technologies. We do not guarantee that you will find a match or that matches suggested by Zo will meet your expectations. AI systems can occasionally produce inaccurate, biased, or unintended responses, and you should not rely on Zo for professional, medical, legal, or psychological advice.

3. Your conduct

Using Zofriends means agreeing not to:

Every conversation in the App, including group conversations and your interactions with Zo, is monitored for safety and quality purposes. This includes both automated scanning and review by authorized human personnel. We may read your messages, inputs, and AI prompts to investigate reports, enforce these Terms, and manually review content to improve our app, AI models, and overall service. If we determine you have violated these Terms, we may warn you, restrict your account, or terminate it, at our discretion.

4. Reporting and blocking

You can block or report another user directly in the App. We review reports and take action we determine appropriate, which can include warning, restricting, or removing the reported account.

Zofriends offers a Day Pass, a one-time purchase that unlocks additional features for 24 hours. It is not a subscription and does not renew automatically. All purchases are processed through Apple’s App Store or Google Play’s billing systems, and are subject to their respective refund and billing policies, not ours directly. We do not store your payment card information.

7. Account termination

You may delete your account at any time in Settings. Deletion is immediate and permanent; see our Privacy Policy for what happens to your information when you do.

We may suspend or terminate your account if we determine, at our discretion, that you have violated these Terms, engaged in behavior that harms other users, or misused the App. If your account is terminated for a violation, you may not create a new account.

8. Intellectual property

The App, including its design, features, and the Zo character and branding, is owned by Zomage LLC. You keep ownership of content you create (like messages and photos you send), but by using the App you grant us the right to process and display that content as necessary to operate the features you are using (for example, showing your photo to a match after mutual unlock).

9. Disclaimers

The App is provided “as is” and “as available,” without warranties of any kind, whether express, implied, statutory, or otherwise. We do not guarantee that you will find a match, that matches will meet your expectations, or that the App will be uninterrupted, secure, or error-free.

You are solely responsible for your interactions with other users. You understand that Zomage LLC currently does not conduct criminal background checks on its users, does not verify the identity or intentions of its users, and does not inquire into the background of its users. Zomage LLC makes no representations or warranties as to the conduct, identity, intentions, legitimacy, or veracity of users.

Zomage LLC reserves the right to conduct, and you authorize Zomage LLC to conduct, any criminal background check or other screenings (such as sex offender registry searches) at any time using available public records, but we are under no obligation to do so.

Assumption of risk: You agree to take all necessary precautions in all interactions with other users, particularly if you decide to communicate off the App or meet in person. You assume all risks associated with dealing with other users, including but not limited to, bodily injury, emotional distress, and any other damages resulting from communications or meetings.

10. Limitation of liability

To the fullest extent permitted by applicable law, in no event will Zomage LLC, its affiliates, directors, officers, employees, or partners be liable for any indirect, consequential, exemplary, incidental, special, or punitive damages, including, without limitation, loss of profits, data, use, goodwill, or other intangible losses.

Furthermore, Zomage LLC shall not be liable for any damages whatsoever, whether direct or indirect, arising out of or relating to the conduct of you or anyone else in connection with the use of the App, including without limitation, bodily injury, emotional distress, and/or any other damages resulting from communications, meetings, or in-person interactions with other users.

To the maximum extent permitted by law, our total cumulative liability to you for any claims arising out of or relating to these Terms or your use of the App, regardless of the form of the action, will at all times be limited to the greater of (a) the amount paid, if any, by you to Zomage LLC for the App during the twelve (12) months immediately preceding the date you first assert a claim, or (b) $100.00 USD.

11. Dispute resolution, arbitration, and class action waiver

Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court.

Governing Law: These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms, the App, or your relationship with Zomage LLC (a “Claim”) shall be resolved exclusively by binding, individual arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Consumer Arbitration Rules, rather than in court.

Class Action and Jury Trial Waiver: You and Zomage LLC agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, representative, or consolidated proceeding. You and Zomage LLC explicitly waive the right to a trial by jury.

Venue: For any matters not subject to arbitration, you and Zomage LLC agree to submit to the exclusive personal jurisdiction of the state and federal courts located in Sacramento County, California.

12. Changes to these Terms

We may update these Terms from time to time to reflect changes in our services, applicable laws, or for other operational, legal, or regulatory reasons. If we make material changes, we will update the “Last updated” date above and notify you via the App or email. Your continued use of Zofriends following the posting of updated Terms constitutes your binding acceptance of the changes. If you do not agree to the new Terms, you must stop using the App and delete your account.
